Why the Bank RM Is Pushing This NFO

An NFO call is the last step in a pay chain from the AMC through the distributor. SEBI trimmed the levers twice, in 2018 and December 2024. What remains says more about the AMC's slot strategy than about any portfolio gap.

The call has a reason and it is usually structural rather than personal. A relationship manager who phones about a new fund offer is the last step in a pay chain that runs from the AMC through the distributor to the household. That chain has been rewired twice, once in October 2018 and again in December 2024. Each rewiring trimmed a lever that used to make an NFO sale pay more than a fresh instalment into a fund that already exists. What is left is narrower than the pitch tends to suggest. Following the money explains the call better than the script does.

1. Two Pay Levers, Both Now Trimmed #

Before 2018 an NFO paid the distributor an upfront commission, the entry load that SEBI's own 2008 concept paper put at around 2.25% of the subscription. A large upfront plus a modest trail made the present value of an NFO sale materially higher than the present value of an ongoing SIP in an existing fund. That gap was the structural mis-selling incentive the regulator named for years.

SEBI's circular dated 22 October 2018 banned upfront commissions outright and moved the industry to a trail-only regime, where the distributor is paid a slice of the scheme's expense ratio on daily assets. Under trail-only the commission on Day 1 of an NFO and the commission on a fresh SIP into the AMC's existing equivalent fund are economically identical at the same trail rate. The December 2024 SEBI board meeting closed the remaining gap by ruling that on a switch transaction the distributor earns the lower of the two schemes' commissions, removing the old habit of moving an investor from an existing fund into an NFO of the same house to refresh the pay.

2. The Residual Pull #

One structural reason an NFO can still pay a touch more survives the rewiring. Trail is paid out of the scheme's Total Expense Ratio. The TER cap tapers with size. The first ₹500 crore of an equity scheme's assets sit at the highest 2.25% slab, with the cap stepping down as the fund grows. A small new scheme on the top slab can therefore support a trail at the upper end of the 0.20–1.00% band, while the AMC's large flagship in the same broad style, sitting on a compressed TER, supports a trail closer to 0.40–0.60%.

Note. The pull is per rupee of assets and it shrinks as the new fund grows into the lower TER slabs. It is a real edge for the distributor on a small fresh scheme. It says nothing about whether the scheme is a better holding than the flagship it sits beside.

3. The AMC Side of the Call #

The deeper engine sits above the distributor. An AMC books an equity management fee of roughly 60 to 65 basis points on assets every year. It books it for the entire life of a scheme. A new slot of that revenue gets filled by collecting fresh assets, which is what an NFO does. Because an incremental scheme on an existing platform carries almost no new operating cost, the contribution margin of a slot is very high. HDFC AMC's FY25 operating margin of 77.9% and the 62 to 63 basis-point equity yields reported by Nippon Life and Aditya Birla Sun Life AMC in Q4 FY26 are the visible signature of that.

SEBI's categorization circular of 6 October 2017 lets an AMC run only one scheme per diversified sub-category, so once the Large Cap and Flexi Cap and Mid Cap slots are filled, new launches move into the uncapped buckets of Index Funds, ETFs, Sectoral or Thematic funds and Fund of Funds. The RM's NFO call is the last mile of that slot strategy. Then-SEBI chair Madhabi Puri Buch named the driver at an AMFI event in February 2025, calling the proliferation of thematic schemes a product of "the arbitrage between normal schemes and new fund offers."

4. The Geography Lever, Gamed and Rebuilt #

One more incentive shaped where NFO calls landed. To draw money from beyond the top 30 cities, SEBI had allowed AMCs an extra 30 basis points of TER on inflows from those locations. A SEBI letter to AMFI dated 24 February 2023 quantified the abuse. On splitting, it counted close to 6,000 instances amounting to ₹92 crore between FY2019 and FY2022, where single applications were broken into pieces under the ₹2 lakh retail threshold to harvest the add-on. On churning, it found 2,000 instances across 19 fund houses involving ₹3.32 crore, where investments were redeemed after a year and re-entered to refresh the incentive.

The 30 basis-point add-on was suspended from 1 March 2023 and deleted permanently by gazette notification dated 31 October 2025. A narrower replacement worth up to ₹2,000 per first-time application, funded from the 2 basis-point investor-education kitty rather than from scheme TER, took effect on 1 March 2026. The geography incentive that once pushed NFO calls into smaller cities has been cut to a small capped per-application figure that no longer scales with the size of the cheque.

5. Reading the 2026 Call #

Put together, the levers that once made an NFO sale richer than an existing-fund sale have nearly all been trimmed. Upfront is gone since 2018. The switch premium is gone since December 2024. The geography add-on is a small capped per-application figure since March 2026. What remains is the small per-rupee trail edge on a fresh low-AUM scheme and the AMC's high-margin appetite for a new slot.

What the pitch signals now

An NFO call in 2026 is more reliable as a read on the AMC's slot strategy than on a gap in any one portfolio. The "exclusive" and "get in early" lines have no economic mechanism behind them. The deployment lag that follows the subscription, covered in the deployment-window explainer, runs against the subscriber. The honest test is whether the fund clears the bar on its own merits, which is the subject of the main explainer.

FAQ #

Does a bank RM earn more by selling an NFO than an existing fund?

Far less than before. Since the SEBI circular of 22 October 2018 banned upfront commissions, the distributor earns only trail. The trail on Day 1 of an NFO equals the trail on a fresh SIP into the existing equivalent fund at the same rate. A small residual edge survives because a new low-asset scheme can sit on the top TER slab and support a slightly higher trail per rupee, but that shrinks as the fund grows.

What changed in December 2024?

The SEBI board ruled that on a switch transaction the distributor earns the lower of the two schemes' commissions. That closed the old practice of moving an investor from an existing fund into an NFO of the same AMC to claim the higher commission. The same meeting introduced the 30-business-day deployment timeline for NFO proceeds.

Why do AMCs keep launching NFOs that look like funds they already run?

The contribution margin of a new scheme slot is very high. An AMC books roughly 60 to 65 basis points of equity management fee on assets for the life of a scheme. An incremental fund on an existing platform adds almost no operating cost. HDFC AMC's FY25 operating margin of 77.9% reflects that. SEBI's one-scheme-per-category rule also pushes new launches into the uncapped Index, ETF, Sectoral and FoF buckets.

Is an NFO ever exclusive or a limited chance to get in early?

No. An open-ended NFO accepts anyone meeting the minimum during the 15-day window and anyone buying units after it reopens. The 'exclusive' and 'get in early' framings are sales lines with no economic mechanism behind them. The deployment lag that follows actually leaves the money idle for weeks.

What does an NFO pitch in 2026 actually signal?

More about the AMC's need to fill a scheme slot than about a gap in a specific portfolio.
